Terms of Service

Effective 5 July 2026. This is a binding agreement between you and Junius Lau (operating as ZeniStudy) (“ZeniStudy”, “we”, “us”), governing your use of the ZeniStudy website, app, and API (the “Service”).

1Acceptance of these Terms

By creating an account, or by using the Service in any way, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service. If you’re using ZeniStudy on behalf of a school, company, or other organization, you’re confirming you have authority to bind that organization to these Terms.

2Eligibility & capacity to contract

You must be at least 13 years old to use ZeniStudy. Malaysian law generally treats anyone under 18 as a minor who cannot be bound by a contract on their own (Age of Majority Act 1971), so:

  • If you’re 13–17, you may use free features, but a parent or legal guardian must make (or directly authorize) any purchase — credits, a subscription, or extra Library slots — and that parent or guardian is the one agreeing to Sections 7 and 14 of these Terms and is responsible for the charges.
  • If you’re 18 or older, you’re contracting on your own behalf.

We don’t knowingly let anyone under 13 create an account. See Section 10 of the Privacy Policy for what happens if we learn otherwise.

3What the Service is

ZeniStudy lets you upload study material (documents, text, or a lecture/video transcript) and generates study guides, flashcards, and quizzes from it using an automated AI model, subject to a credit-based usage system. Some outputs are automatically kept in your Library so you can revisit them without regenerating; quizzes you complete can be saved with your results.

4Your account

You need an account to use most of the Service. You’re responsible for keeping your login credentials confidential and for everything that happens under your account. Tell us immediately at juniustk905@gmail.com if you suspect unauthorized access. One account per person — don’t share credentials or create accounts to get around a limit, a suspension, or the free-signup credit grant.

5AI-generated content — read this

The most important section in this document

Study guides, flashcards, and quizzes are produced by an automated third-party AI model based on what you upload. They can be wrong.

  • Generated content may contain errors, outdated information, omissions, or entirely fabricated (“hallucinated”) facts, citations, or figures.
  • It is not a substitutefor your actual course materials, textbook, syllabus, or instructor — it’s a study aid, not an authoritative source.
  • We do not guarantee accuracy, completeness, or that using ZeniStudy will improve your grades, test scores, or any academic outcome.
  • You’re responsible for checking anything you intend to rely on academically against your own source material before you trust it.
  • You’re also responsible for following your own school’s or institution’s rules on AI use and academic integrity — ZeniStudy is a tool; how you use its output against your institution’s policies is on you, not us.

6Your content & our license to it

You keep ownership of whatever you upload. By uploading it, you give us a limited, non-exclusive license to store, process, transmit (including to the third-party AI and OCR providers listed in Section 11), and display it back to you, solely to operate the Service and generate your requested output.

You confirm that you have the right to upload whatever you upload, and that doing so doesn’t infringe anyone else’s copyright, privacy, or other rights — for example, you shouldn’t upload someone else’s personal or confidential information without their permission, or material you don’t have the right to reproduce or process this way. You’re responsible for your uploads; see Section 15 (Indemnity).

7Credits, payments & subscriptions

Credits are a prepaid license to use AI-generation features. They are not currency, have no cash value, aren’t transferable between accounts, and can’t be redeemed for cash.

Prices are shown and charged in USD, processed by Stripe. Subscriptions renew automatically at the end of each billing period until you cancel; cancelling stops the next renewal — you keep access through the period you already paid for. One-time top-ups, credit packs, and the Library-slots purchase are single charges with no renewal.

All sales are final.Credits, top-ups, subscription payments, and Library-slot purchases are non-refundable except where a refund is required by applicable law (see the Refund & Billing Policy, Section 3, for the full policy and how chargebacks are handled).

8Saved content & storage limits

Your Library has a limit on how many study guides, flashcard decks, and saved quizzes you can keep at once; you can raise that limit with a one-time purchase, or free up space by deleting items. We don’t promise unlimited or permanent storage — if you delete your account, or if we terminate it under Section 12, saved content is removed along with it.

9Acceptable use

Don’t do any of the following:

  1. Upload unlawful, infringing, or malicious content (including malware).
  2. Reverse-engineer, scrape, or attempt to circumvent the Service’s rate limits, credit system, or security controls.
  3. Resell, sublicense, or provide bulk/automated access to the Service without our written permission.
  4. Use the Service to generate content for someone else’s benefit at commercial scale outside your own personal study use, without our permission.
  5. Interfere with the Service’s operation or other users’ use of it.

We can suspend or terminate accounts that break this section — see Section 12.

10Our intellectual property

The Service — its software, design, and the ZeniStudy name and logo — belongs to Junius Lau (operating as ZeniStudy) or our licensors. These Terms don’t give you any rights to our IP beyond what’s needed to use the Service as intended.

11Third-party services

ZeniStudy relies on third-party providers to work:

We’re not liable for outages, errors, or failures caused by these third-party providers that are outside our reasonable control.

12Suspension & termination

You can delete your account at any time from Settings. We can suspend or terminate your account, immediately and without refund, if you breach these Terms, we reasonably suspect fraud or abuse, you file a payment chargeback instead of contacting us first, or we’re required to by law. Sections 5, 6 (as to content already processed), 13, 14, 15, and 16 survive termination.

13Disclaimer of warranties

The Service is provided “as is” and “as available.”To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant the Service will be uninterrupted, error-free, or that generated content will be accurate (see Section 5).

14Limitation of liability

To the fullest extent the law allows, ZeniStudy and its officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or academic outcomes (including exam results, grades, or admissions decisions), arising from your use of the Service.

Our total liability for any claim relating to the Service is capped at the greater of USD 100or the amount you actually paid us in the 12 months before the claim arose. This cap doesn’t apply where the law doesn’t allow it (for example, liability for fraud or for death or personal injury caused by negligence, to the extent Malaysian law makes such a cap unenforceable).

15Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your uploaded content, or your misuse of the Service.

16Governing law & disputes

These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules.

Arbitration. Any dispute arising from these Terms or the Service — other than a claim that qualifies for small-claims court, or a request for urgent injunctive relief — will be resolved by binding arbitration administered by the Asian International Arbitration Centre (AIAC) under its Arbitration Rules (or its Fast Track Rules, where the amount in dispute qualifies), seated in Kuala Lumpur, conducted in English, before a single arbitrator.

Individual claims only.Disputes will be arbitrated on an individual basis only. Neither you nor we may bring a claim as a class, collective, or representative action, or consolidate an arbitration with anyone else’s, to the fullest extent the law allows.

17Changes to these Terms

We may update these Terms from time to time. We’ll post the revised version here with a new effective date and, for material changes, tell you by email or in-app notice. Continuing to use the Service after a change takes effect means you accept it.

18General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right isn’t a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events outside its reasonable control. These Terms, together with the Privacy Policy and Refund & Billing Policy, are the entire agreement between us. Notices to us go to juniustk905@gmail.com.

Privacy Policy

Effective 5 July 2026. This explains what personal data ZeniStudy collects, why, and the rights you have over it — including the notice Section 7 of Malaysia’s Personal Data Protection Act 2010 (“PDPA”) requires us to give you.

1Who this policy covers

This policy applies to anyone who uses ZeniStudy, operated by Junius Lau (operating as ZeniStudy). Questions about your data go to juniustk905@gmail.com.

2Personal Data Protection Notice (PDPA)

This section gives the specific disclosures Section 7 of Malaysia’s PDPA requires:

  • What we process: your account details, uploaded study material, generated content, quiz results, payment and billing metadata, and technical/usage data — the full list is in Section 3.
  • Why: to operate the Service, generate your study material, process payments, keep the Service secure and prevent abuse, and meet our legal obligations — see Section 4.
  • Source: mostly directly from you (sign-up, uploads); some comes from Stripe (payment/subscription status) and Supabase (authentication events).
  • Your right to access & correct: you can request a copy of your data or ask us to correct it at any time — contact juniustk905@gmail.com.
  • Who we disclose to: the third-party processors named in Section 3 (Stripe, Supabase, DeepSeek, Google Cloud Vision, Vercel), and law enforcement or regulators where legally compelled. We do not sell your personal data.
  • Is providing your data optional?An email address is required to create an account — without it, we can’t create one. Uploading content is optional but required to generate study material from it.

3What we collect

  • Account data: your email address and authentication data, via Supabase.
  • Your content: documents, text, and transcripts you upload, the text we extract from them, and the study guides, flashcards, and quizzes generated from them.
  • Quiz & study activity: scores, answers, and performance summaries for quizzes you save.
  • Payment data: Stripe customer and subscription IDs, transaction and credit-ledger records. We do not receive or store your full card number — Stripe handles that directly.
  • Technical data: IP address and request metadata, used for rate-limiting, fraud prevention, and security.

4How we use it

  • To operate the Service and generate the study material you request.
  • To process payments and maintain your credit balance and billing history.
  • To enforce per-account limits (generation rate, saved-item caps) so the Service stays usable and abuse-resistant for everyone.
  • To detect and prevent fraud — including flagging accounts with repeated payment chargebacks/disputes (see the Refund & Billing Policy).
  • To maintain, secure, and improve the Service, and to communicate with you about it.
  • To comply with our legal and tax obligations.

5Your content & the AI provider

When you generate a study guide, flashcard deck, or quiz, the extracted text from your uploaded material is sent to our AI provider (DeepSeek) to produce the output. Scanned/image-only PDFs may also be sent to Google Cloud Vision for OCR. Don’t upload sensitive personal data (health, financial, or government-ID information), confidential business material, or anyone else’s personal data you’re not authorized to share — it will be transmitted to these third parties to generate your output.

6Cross-border transfer

Our service providers — including Stripe, Supabase, DeepSeek, and Vercel — may process your data outside Malaysia. By using the Service, you consent to this transfer, which is one of the lawful bases for cross-border transfer under Section 129 of the PDPA. We choose providers that maintain appropriate security and confidentiality commitments.

7Cookies

We use essential cookies to keep you signed in and to keep the Service secure. We don’t currently use third-party advertising or tracking cookies. If that changes, we’ll update this section and, where required, ask for your consent first.

8Retention & deletion

Saved study guides, decks, and quizzes are kept until you delete them or your account, subject to the per-type caps in the Terms of Service. When you delete your account, we remove your personal data, with two exceptions we want to be upfront about:

  • Financial records (transactions, invoices, ledger entries) are retained for the period Malaysian tax and accounting law requires (generally up to seven years under the Income Tax Act 1967).
  • A one-way cryptographic hash of your email address is kept indefinitely — not the email itself — solely so that the one-time free sign-up credit grant can’t be claimed twice by re-registering after a deletion.

9Your rights

You can ask us to access, correct, or delete your personal data at any time by writing to juniustk905@gmail.com, subject to the retention exceptions in Section 8. You can also withdraw consent for optional processing, though this may limit what the Service can do for you.

If you’re in the EEA or UK: you also have rights to data portability and to object to certain processing, and you can lodge a complaint with your local data protection authority.

If you’re a California resident: you have the right to know what personal information we hold about you and to request its deletion. We do not sell personal information.

10Children's privacy

ZeniStudy is not directed at children under 13, and we don’t knowingly collect their data. If we learn we’ve collected personal data from a child under 13 without appropriate consent, we’ll delete it. Users aged 13–17 should have a parent or guardian involved in any purchase, per Section 2 of the Terms of Service.

11Security

We use industry-standard measures to protect your data, including encryption in transit and sealed/hashed tokens for sensitive processes like quiz grading. No system is perfectly secure, and we can’t guarantee absolute security.

12If something goes wrong

If we become aware of a data breach affecting your personal data, we’ll notify you, and the Malaysian Personal Data Protection Commissioner where required, without undue delay.

13Changes to this policy

We may update this policy from time to time; the effective date at the top will change, and we’ll flag material changes by email or in-app notice.

Refund & Billing Policy

Effective 5 July 2026. Covers credit purchases, top-ups, Library-slot purchases, and subscriptions — this section works together with Section 7 of the Terms of Service, not instead of it.

1All sales are final

Credit packs, one-time top-ups, Library-slot purchases, and subscription charges are non-refundable once processed, except where a refund is required by applicable law. This reflects that credits are typically consumed (spent on AI generation) quickly after purchase.

2Cancelling a subscription

You can cancel anytime from Settings. Cancelling stops the next renewal — you keep full access for the rest of the period you already paid for, with no partial or pro-rated refund for the unused portion.

3Chargebacks & payment disputes

If something’s wrong with a charge, contact juniustk905@gmail.com first — we’d rather sort it out directly. Filing a chargeback or payment dispute with your bank or card issuer instead may result in immediate suspension of your account and forfeiture of any remaining credits while we investigate. An account with repeated chargebacks may be permanently restricted from future purchases.

4Your statutory rights

Nothing in this policy limits any right you have under the Consumer Protection Act 1999 or other Malaysian consumer-protection law that can’t be waived by agreement.

IP & Copyright Complaints Policy

Effective 5 July 2026. ZeniStudy is meant for processing material you already have the right to use for your own private study. If you believe something processed, stored, or displayed through ZeniStudy infringes your copyright or other IP rights, here’s how to tell us.

1How to submit a complaint

Send a notice to juniustk905@gmail.com including:

  1. Identification of the copyrighted work or right you claim is infringed.
  2. Identification of the material or account you believe is infringing, specific enough for us to locate it.
  3. Your contact information (name, address, email, phone).
  4. A statement that you have a good-faith belief the use isn’t authorized by the rights owner, its agent, or the law.
  5. A statement, made under penalty of perjury, that the notice is accurate and that you’re authorized to act for the rights owner.
  6. Your physical or electronic signature.

2What happens next

We’ll review valid complaints and may remove or restrict access to the material, and notify the account holder. If you’re the account holder and believe material was removed by mistake, you can send a counter-notice to the same address explaining why; we’ll consider it in good faith.

3Repeat infringement

We may suspend or terminate accounts that are the subject of repeated, valid infringement complaints.
